Interim Version

This is an interim agreement. It replaces the prior interim version and describes how Vfane actually operates today. It has not yet been reviewed by an attorney; an attorney-reviewed version will replace it. While this version is posted, it is the version in effect and applies to your participation on Vfane.

Contractor Agreement

How This Works

Vfane may create a profile for your business using publicly available information. This Agreement applies when you claim that profile by creating a Vfane account. Once you claim it, the profile is yours to manage, and everything below applies to you. If you do not want to claim your profile, you can still ask Vfane at support@vfane.com to correct or remove it.

You Are an Independent Business

Vfane does not employ you. Nothing in this Agreement creates an employment, joint-employer, partnership, agency, or franchise relationship between you and Vfane. You are an independent business, free to list on other platforms and to take work from any source.

Vfane never assigns you work, sets or suggests your prices, schedules your jobs, supervises your work, or directs how you do it. Running your business is your responsibility — including your own taxes, your own insurance, and your own workers. Anyone on your crew works for you, not for Vfane.

Your Pillar Profile — Consent and Corrections

By claiming your profile, you consent to Vfane displaying your trust-pillar statuses on your public page. Verified means Vfane confirmed that specific item against a named source, on a recorded date — a statement about what Vfane checked on that date, not a permanent status. Verification does not stand indefinitely; when a verification lapses, the pillar reverts to Stated by contractor. Stated by contractor means the item has not been independently checked by Vfane. Where the item is your own claim, it is you speaking to homeowners and you are responsible for keeping that claim accurate; where it follows a verification that has lapsed, it means only that Vfane's check no longer stands. While Vfane checks an item you have submitted for verification, the pillar shows Under review.

Verification status never decides whether your profile appears in homeowner matching. Every approved profile is included in matching regardless of how many pillars are verified — pillar status affects how your profile is presented and ordered, nothing more. Homeowners browsing the directory can apply their own filters, which can narrow the list they see there. Profile approval is Vfane's decision to list your profile after onboarding review — it is not an endorsement, recommendation, or guarantee of your business.

If you believe a pillar status is incorrect, contact us. We will review it against the named source and correct confirmed errors within 30 days. A pillar shown as Stated by contractor is never a penalty.

What You Certify

By claiming your profile, you certify that:

  • You may lawfully operate your roofing business in Texas
  • If your business is a registered entity, it is in good standing with the Texas Secretary of State
  • Every certification or credential shown on your profile is genuine and current — and because Texas issues no state roofing-contractor license, you will never present a trade credential (such as the voluntary RCAT license) as state authorization
  • Your General Liability insurance is active and current — your own certification, not something Vfane verifies
  • You will provide a current Certificate of Insurance (COI) directly to any homeowner who asks for one
  • All information you provide to Vfane is accurate and current, and you will keep it that way
  • You have the right to share any third-party contact information you enter on Vfane — such as past customers you invite to endorse your claimed pillars, or contacts you add to your lead records

Verification Integrity — No Pay-to-Play

Verification standing on Vfane is determined solely by evidence checked against a named source on a recorded date. It is never granted, upgraded, accelerated, retained, or restored in exchange for payment or any other consideration.

Vfane accepts no payment for placement, ranking, or search position — from you or anyone else. Trying to buy, trade for, or game a verification outcome violates this Agreement and can end your participation.

Insurance and COI Documents

If you upload a Certificate of Insurance, it is stored privately. You and Vfane's admin can see it as part of profile review; the document never appears publicly.

Vfane does not confirm insurance coverage with insurance carriers, and nothing on Vfane is a statement by Vfane about your coverage. Homeowners are told to request a current COI directly from you and to confirm coverage themselves — be ready to provide it.

No Insurance-Claim Advertising

You may not advertise, offer, or describe insurance-claim negotiation or claim-handling services anywhere on Vfane — not on your profile, not in posts, not in messages — and you may not advertise or offer to pay, waive, absorb, rebate, or offset an insurance deductible. Vfane removes such content, and repeat violations can end your participation. This applies to every profile Vfane creates or displays, claimed or unclaimed — Vfane removes insurance-claim and deductible advertising wherever it appears on the platform.

This is Texas law, not just Vfane policy: Texas Insurance Code Chapter 4102 prohibits a contractor from acting as an adjuster, or advertising to adjust or negotiate an insurance claim, on any property for which the contractor is providing — or may provide — roofing services; Texas Insurance Code Chapter 707 makes it an offense for a contractor to pay, waive, absorb, or rebate an insurance deductible the homeowner owes; and Texas courts have enforced these lines.

Reviews, Endorsements, and Invitations

Reviews and endorsements on Vfane are homeowner speech. Never offer, request, or accept anything of value in connection with one — no discounts, payments, upgrades, extra work, or favors, before or after the review.

Do not create or post fake reviews or endorsements. Do not review your own business, and do not have employees, family, or business partners endorse you without clearly disclosing the relationship. Invite only genuine past clients to endorse you — invited endorsements always appear separately, labeled as coming from invited past clients — and never pressure a homeowner or past client about what to say. Vfane removes content that breaks these rules, and repeat violations can lead to suspension or removal.

Homeowner Contact Information

A homeowner's contact details reach you only when that homeowner chooses to share them — through Vfane's sharing control, or by typing them into a message to you. Until then, a matched lead shows you the project, not the person.

Use shared contact information only to communicate about that homeowner's project. Never sell it, trade it, share it, or use it for marketing beyond that project. If a homeowner asks you to delete their contact details from your records on Vfane, delete them.

Fees

Vfane does not currently charge contractors anything — no subscription fee, no lead fee, no placement fee, no verification fee. Vfane also does not process, hold, or transmit payments between you and homeowners: payment for your work is strictly between you and your customer.

No Guarantees

Vfane does not guarantee you any leads, matches, profile views, or business outcomes.

Your Work Is Your Responsibility

You are solely responsible for all work you perform for homeowners — including quality, safety, building-code compliance, permitting, and warranty obligations. Vfane has no involvement in, responsibility for, or liability related to your work.

Term and Termination

You can stop using Vfane at any time, and you can ask us to delete your account and data as described in the Privacy Notice (today, deletion is a request you send us).

Vfane may suspend or remove your profile or account for violations of this Agreement, the Terms of Use, or the law, or to address legal risk. Indemnification, the limits on your use of homeowner contact information, and the limitation of liability survive the end of this Agreement; the content license continues only as long as needed to wind down and remove your content.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY TEXAS LAW, VFANE IS NOT LIABLE TO YOU FOR LOST PROFITS, LOST LEADS, REPUTATIONAL HARM, OR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. VFANE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE PLATFORM IS LIMITED TO ONE HUNDRED DOLLARS ($100). THE LIMITS IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CLAIMS BASED ON VFANE'S OWN NEGLIGENCE. Nothing in this section limits any liability that cannot be limited under applicable law — including liability for Vfane's own gross negligence, willful misconduct, or fraud — and nothing in this Agreement waives any right that cannot be waived under applicable law, including any non-waivable right under the Texas Deceptive Trade Practices Act.

Indemnification

If anyone — including a homeowner — brings a claim against Vfane arising from your work, your content, or your breach of this Agreement, you agree to defend Vfane and hold it harmless, including reasonable attorney fees. This obligation does not apply to the extent a claim arises from Vfane's own negligence or breach, or from information Vfane compiled that you did not provide, adopt, or edit.

Your Content

You keep ownership of your photos, logos, and business information. By uploading content, you grant Vfane a non-exclusive license to display it on the platform.

Governing Law and Disputes

Texas law governs this Agreement. Before filing any formal claim, contact us first — most problems can be resolved directly. For any dispute that does go to court, you and Vfane agree that the state or federal courts in Harris County, Texas are the venue for that dispute, and both consent to that venue, to the extent permitted by applicable law. The dispute provisions of the Terms of Use also apply to this Agreement. If any provision of this Agreement is found unenforceable, the remaining provisions stay in full effect.

Changes to This Agreement

If we make material changes to this Agreement, we will give you advance notice. Changes apply going forward only — never retroactively. Continuing to use Vfane after a change takes effect means you accept the change from that point on.

Agreement and Language

By claiming your profile, you agree to this Contractor Agreement, our Terms of Use, and our Privacy Notice. This Agreement is written in English; the Spanish version is a convenience translation. If the two versions conflict, the English version controls.
